1) Introduction & Acceptance
These Terms form a contract between you and CORDNET OÜ (“Featurebase,” “we,” “us”). By accessing featurebase.app or using any Featurebase product, SDK, or API (together, the “Services”), you confirm that you’ve read and agree to these Terms and to applicable policies referenced here. If you accept on behalf of a company, you represent you have authority to bind that company.
We may update these Terms periodically by posting a revised version with a new “Last updated” date. Your continued use constitutes acceptance of the changes.
2) Services & Account
Keep your credentials secure and your account details accurate. You’re responsible for activity under your account. We may refuse, suspend, or close accounts for misuse, non-payment, or legal risk.
3) Plans, Free Trial, Cancellation & Refunds
Plans & pricing. Current plans, limits, and prices are shown on our pricing page. We offer monthly and annual subscriptions and a 10-day free trial; plan features may change from time to time.
Free trial. New users get a 10-day free trial. Trials do not auto-convert; you can upgrade to a paid plan any time.
Cancellation. You can cancel at any time from your account dashboard or by contacting support. Cancellation takes effect at the end of the current paid term.
Refunds. You may request a refund within 30 days of the original payment by emailing support@featurebase.app. Refunds aren’t issued after the 30-day window.
4) Billing & Taxes
You authorize recurring charges to your selected payment method (e.g., Stripe). Fees are billed in advance per your plan and renew automatically unless cancelled. Taxes, if applicable, are additional. We may correct pricing errors and may change pricing with notice for future terms.
5) License to Use the Services
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for your internal business purposes. You may not sublicense, resell, or commercially exploit the Services except as expressly permitted. We reserve all rights not granted.
6) Intellectual Property & Who Owns What
Your content (“Customer Content”). You retain ownership of the content you submit or configure in the Services (feedback, tickets, roadmaps, help center content, configurations, integrations, files). You grant us a limited license to host, process, transmit, and display it solely to provide and secure the Services and to support you.
Service data & telemetry. We collect operational data (e.g., event logs, performance metrics) to run, protect, and improve the Services. We may use such data in aggregated or de-identified form for analytics and benchmarks.
Featurebase materials. We (and our licensors) own the platform, software, models, templates, documentation, UI/UX, and brand. No implied licenses.
Feedback. Suggestions you provide may be used by us without restriction or compensation.
7) Privacy, Cookies, DPA & Roles
Your use of the Services is subject to: (a) our Privacy Policy, (b) our Cookie Policy, and (c) our Data Processing Agreement (DPA) when we process Customer Personal Data on your instructions.
Controller vs Processor. We are Controller of our account/billing/marketing/telemetry data and Processor of Customer Personal Data you send into the product (per the DPA).
Hosting & security. We host primarily in the EU and maintain strong security controls (including SOC 2 Type II). Details are available on request.
8) AI Features & Data Use
We use third-party AI infrastructure (e.g., OpenAI, Google Gemini) to power optional product features. Customer data is not shared with those providers for training, and is not used to train any AI models. We may process de-identified service data to improve the Services. Enterprise terms can add further controls.
9) Operational Access & Benchmarks
Authorized personnel may access your workspace data only as needed to provide support, ensure security, and troubleshoot. Access is logged. We may publish aggregated, de-identified performance or usage benchmarks that never include readable customer content or project names.
10) Subprocessors
We use vetted subprocessors under contracts imposing privacy/security obligations; we remain responsible for their work. Our current list and notice process for changes are maintained in our help center.
11) Content & Conduct Rules (AUP)
You agree not to:
Break laws, infringe IP/privacy rights, or engage in harassment or doxxing.
Upload malware, interfere with the Service, or access non-public systems, APIs, or data.
Scrape, brute-force, or overload the Service; build a competing service by extracting or reverse engineering models or service logic.
Misrepresent AI output as human-produced where doing so would be deceptive.
Bypass plan limits, create multiple free accounts, or attempt to avoid fees.
Violate export controls or sanctions.
12) User-Generated Content
If you post content (e.g., forum posts, help center articles within your workspace), you’re responsible for it. You confirm you have rights to it and that it’s lawful and not harmful. We may remove content that violates these Terms or law.
13) Support Services
We provide documentation and reasonable support for paid plans (scope and channels as described on the Site). Support excludes custom development, non-Featurebase systems, and extensive debugging, unless agreed separately.
14) Subscription Fulfilment & Service Policies
Delivery. Access is granted immediately upon successful payment or plan activation. Credentials and onboarding details are provided electronically.
Cancellation. See Section 3 (effective end of current term).
Digital services. The Services are digital; returns don’t apply beyond the refund terms in Section 3.
15) Third-Party Services & Integrations
Using optional integrations (e.g., Slack, GitHub, etc..) may require you to accept third-party terms. We’re not responsible for those services.
16) Copyright / Notice-and-Takedown (DMCA & EU)
We respect intellectual-property rights and comply with applicable notice-and-takedown regimes. If you believe material available through the Services infringes your copyright, email support@featurebase.app with:
identification of the copyrighted work;
the allegedly infringing material (URL or precise location);
your contact details;
a statement that you have a good-faith belief the use is unauthorized; and
a statement, under penalty of perjury, that the information is accurate and you’re authorized to act.
If your content was removed and you believe that was a mistake, send a counter-notice with sufficient detail. Where applicable, we may restore content in accordance with the DMCA (17 U.S.C. §512) and the EU notice-and-action framework.
17) Enforcement & Remedies
We may suspend or terminate accounts for violations, remove unlawful content, block IPs, and contact law enforcement where appropriate. We may deny refunds to terminated accounts. These remedies are additive to any other rights we have at law or equity.
18) Beta & Experimental Features
We may offer pre-release features (“Beta”). Beta is provided as-is, may change, and may be withdrawn. You assume all risk from use of Beta features.
19) Disclaimers
Except where prohibited by law, the Services are provided “as is” and “as available.” We disclaim all warranties (express, implied, or statutory), including merchantability, fitness for a particular purpose, and non-infringement. We don’t promise uninterrupted or error-free operation, or that AI outputs will meet your requirements.
Uptime can be monitored from: https://status.featurebase.app/
20) AI Output Disclaimer
AI-powered features can produce inaccurate or incomplete results. Do not rely on AI output without human review, especially for medical, legal, financial, or safety-critical uses. You’re responsible for verifying and using outputs lawfully and safely.
21) Limitation of Liability
To the fullest extent permitted by law:
No indirect damages. Neither party is liable for indirect, special, incidental, exemplary, or consequential damages (including lost profits or data), even if advised of the possibility.
Cap. Each party’s total liability arising out of or relating to the Services is limited to the amounts you paid to Featurebase in the 6 months before the event giving rise to liability.
These limits don’t exclude liability that cannot be limited by law.
22) Indemnification
You’ll defend, indemnify, and hold harmless Featurebase and its personnel from third-party claims, damages, costs, and fees arising from: (i) your unlawful content or misuse of the Services (even when done by end users and not moderated by you), (ii) your breach of these Terms, or (iii) your violation of another’s rights.
23) Export Controls & Sanctions
You must comply with Estonian, EU, U.S., and other applicable export/sanctions laws. You may not use the Services in, for, or on behalf of restricted countries, entities, or persons.
24) Publicity
If you are a business, you grant us a limited, revocable license to use your name and logo to identify you as a customer on our site and collateral. You can opt out any time by notifying us.
25) Changes, Availability & Force Majeure
We may modify or discontinue features with reasonable notice where feasible. We don’t guarantee continuous availability and aren’t responsible for delays or failures caused by events beyond our reasonable control.
26) Governing Law & Dispute Resolution
These Terms are governed by Estonian law. The courts of Harju County, Estonia have non-exclusive jurisdiction, without prejudice to mandatory consumer protections in your EEA country of residence. Business parties may agree to arbitration in Tallinn (English language) under a mutually agreed set of rules.
27) Miscellaneous
These Terms are the entire agreement about the Services. If any provision is unenforceable, the rest remain in effect. You can’t assign this agreement without our consent (except to an affiliate or in a reorganization); we may assign it. No waiver unless in writing. Electronic communications and e-signatures are acceptable.
